1. Agreement to Terms
By accessing or using the services of Kathys Agency UK ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

Kathys provides digital marketing and growth services, including but not limited to:

- Email Marketing and Customer Retention
- Content Strategy and Creation
- Analytics and Performance Tracking
- Growth Strategy Consulting
All services are provided on a bespoke basis, tailored to each client's specific needs and objectives.
3. Client Obligations
As a client, you agree to:
- Provide accurate and complete information about your business
- Grant necessary access to platforms, accounts, and systems required for service delivery
- Respond promptly to requests for information or approvals
- Comply with all applicable laws and regulations
- Pay all fees as agreed in your service agreement
4. Payment Terms
Payment terms will be specified in your individual service agreement. Generally:
- Fees are due as specified in your agreement (monthly, quarterly, or project-based)
- Late payments may incur interest charges
- We reserve the right to suspend services for non-payment
- All fees are exclusive of applicable taxes
5. Intellectual Property
5.1 Our Content
All content, materials, and intellectual property created by Kathys in the course of providing services remain our property unless otherwise agreed in writing.
5.2 Client Content
You retain ownership of your existing content, brand assets, and intellectual property. By engaging our services, you grant us a license to use your content solely for the purpose of providing our services.
6. Performance and Results
While we strive to deliver exceptional results, we cannot guarantee specific outcomes, rankings, traffic numbers, or revenue figures. Digital marketing results depend on numerous factors beyond our control, including market conditions, competition, and changes in algorithms or platforms.
We commit to using industry best practices and our expertise to work toward agreed-upon objectives, but results are not guaranteed.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the course of our engagement. This includes business strategies, financial information, customer data, and other sensitive information.
8. Termination
Either party may terminate the service agreement with written notice as specified in your individual contract. Upon termination:
- All outstanding fees become immediately due
- We will provide a transition period as agreed
- Confidentiality obligations continue to apply
9. Limitation of Liability
To the maximum extent permitted by law, Kathys shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
Our total liability for any claims shall not exceed the total fees paid by you in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Kathys from any claims, damages, losses, or expenses arising from:
- Your breach of these terms or your service agreement
- Your violation of any law or third-party rights
- Content or materials you provide to us
11. Third-Party Services
Our services may involve the use of third-party platforms, tools, or services (e.g., Google Ads, Meta, Shopify). You are responsible for complying with the terms of service of these third parties. We are not responsible for changes, outages, or issues with third-party services.
12. Modifications to Terms
We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the modified terms.
13. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Severability
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
15. Entire Agreement
These Terms of Service, together with your specific service agreement, constitute the entire agreement between you and Kathys regarding the subject matter herein.
